Overview

Welcome to Legit Leader™, operated by Arete Leadership Group, Inc. dba Legit Leader (the “Company,” "Legit Leader," "We," "Us," or "Our"). We provide leaders and school staff (together, "Leaders") with online access to generative artificial intelligence tools through our website and other services (collectively our "Service"). Our Service is designed to enhance leadership experiences through the use of AI technology.

1. SERVICE OVERVIEW AND ACCEPTANCE

Thank you for your interest in using our online services. These Terms govern your access to and use of the Service, which includes our website at www.legitleader.com and any other websites or online services which link to these Terms. By accessing or using the Service, or by downloading, installing or by clicking a button or checking a box marked "I Agree" (or something similar), you signify that you have read, understood, and agree to be bound by these Terms, and to the collection and use of your information as set forth in our Privacy Policy, whether or not you are a registered user of our Service. We reserve the right to modify these Terms with 30 days’ notice to you. Your continued use of the Service after such modifications indicates your acceptance of the updated Terms.

2. ELIGIBILITY AND ACCOUNTS

i. Age Requirements

The Service is not intended for use by children without adult supervision. If you are under eighteen (18) years of age, you may use the Service only with the involvement and consent of a parent, legal guardian, or at the direction of your school. Educational institutions may impose additional policies regarding the use of the Service, which users must follow.

ii. Educational Institution Users

If you are using the Service on behalf of a school, district, or other educational institution, you represent and warrant that you have the authority to:

  • Enter into these Terms on behalf of your institution
  • Consent to data practices described in these Terms and our Privacy Policy

iii. Account Registration and Security

To access certain features of the Service, you must create an account by providing your name, email address, and other requested information. When creating and maintaining your account, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Keep your passwords secure and confidential;
  • Notify Legit Leader immediately of any unauthorized use;
  • Be responsible for all activities that occur under your account;
  • Use your account for your personal professional use only; and
  • Not share your credentials with others or transfer your account.

3. USING AI-GENERATED CONTENT RESPONSIBLY

The Service provides AI-generated content to assist your work as a Leader, but this content requires your professional oversight. By using our Service, you acknowledge and agree to the following responsibilities:

i. Professional Review and Refinement

AI-generated content should serve as a foundation that requires your professional expertise to complete and refine. We recommend viewing AI outputs as draft materials that need your critical assessment, contextual knowledge, and professional judgment before implementation.

ii. Critical Evaluation

You must critically evaluate all AI-generated content for:

  • Factual accuracy and currency of information
  • Potential biases or inappropriate perspectives
  • Pedagogical soundness and grade-level appropriateness
  • Alignment with your curriculum standards and learning objectives

iii. Understanding Technological Limitations

Our AI technology has inherent limitations, including:

  • Knowledge limitations based on training data cutoff dates
  • Potential for generating plausible-sounding but incorrect information
  • Limitations in understanding complex or nuanced educational contexts
  • Varying quality when addressing specialized subject areas

iv. Data Privacy Considerations

When using the Service:

  • Avoid entering or soliciting sensitive personal information about students or others
  • Be mindful of confidentiality and privacy requirements applicable to your role
  • Follow your institution's policies regarding sharing of student information
  • Do not use the Service to process or store confidential student records unless specifically authorized

4. PROHIBITED USES

You agree not to use the Service in any manner that:

  1. Infringes or violates intellectual property rights, privacy rights, or other legal rights of any person or entity;

  2. Violates applicable laws, regulations, or institutional policies;

  3. Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or objectionable

  4. Compromises security, including sharing account credentials or attempting to access others' accounts;

  5. Interferes with the proper operation of the Service, including introducing malware or placing unreasonable load on our infrastructure;

  6. Uses the Service for purposes outside educational contexts, such as commercial activities unrelated to your role as a Leader;

  7. Attempts to reverse engineer, decompile, or otherwise access the underlying code of the Service; or

  8. Uses automated methods to scrape, harvest, or extract data from the Service.

Violation of these prohibitions may result in termination of your access to the Service.

5. DATA PRIVACY AND SECURITY

i. Privacy Policy

Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

ii. Educational Privacy Laws

Legit Leader complies with applicable education privacy laws, including:

FERPA Compliance

When serving educational institutions subject to the Family Educational Rights and Privacy Act ("FERPA"), Legit Leader acts as a "school official" with a legitimate educational interest as defined by FERPA, and commits to:

  • Maintaining confidentiality of any student education records;
  • Using education records only for authorized educational purposes; and
  • Providing access controls and disclosure restrictions.

COPPA Compliance

Legit Leader complies with the Children’s Online Privacy Protection Act (“COPPA”), which requires online service providers to obtain verifiable parental consent and provide parents direct notice before collecting, using, or disclosing personal information from children under 13, except in limited circumstances. Legit Leader provides its services in an educational context—for the exclusive use and benefit of schools or Educational Institutions and for no other commercial purpose. In this context, the Federal Trade Commission (FTC) permits educators, schools, and school districts (collectively “Educational Institutions”) to act as the parent’s agent and consent to the collection of students’ personal information on behalf of parents. Legit Leader relies on Educational Institutions to:

  • Provide consent on behalf of parents regarding the collection, use, and disclosure of students’ personal information.
  • Act as intermediaries between Legit Leader and parents.
  • Receive direct notice regarding Legit Leader’s data practices, ensuring educators are fully informed under COPPA requirements.

iii. Data Security

Legit Leader implements and maintains reasonable administrative, physical, and technical safeguards designed to protect your data, including: Encryption of sensitive information;

  • Regular security assessments;
  • Access controls and authentication measures; and
  • Security incident response procedures.

iv. Student Data

If you use our Service with students, additional terms in our Data Processing Agreement may apply.

6. INTELLECTUAL PROPERTY

i. Legit Leader's Intellectual Property

The Service, including all content, features, and functionality, is owned by Legit Leader and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended educational purposes.

ii. User Content

If you post or share content through the Service (such as professional development plans, handouts, or other materials), you retain ownership of such content, but grant Legit Leader a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display the content solely for the purpose of providing and improving the Service.

iii. Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Legit Leader a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use this feedback for any purpose without compensation to you.

7. FEES AND PAYMENTS

i. Service Plans

The Service may be provided for a fee or other charge, depending on the subscription plan selected. Pricing, payment terms, and plan features are specified on our website or in separate agreements with educational institutions.

ii. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees according to the plan terms. Unless otherwise specified:

  • Payments are due at the beginning of each billing period;
  • Fees are non-refundable except as required by law;
  • You are responsible for all applicable taxes; and
  • Subscription plans automatically renew unless cancelled.

iii. Changes to Fees

We reserve the right to change our pricing with reasonable advance notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

8. TERM AND TERMINATION

i. Term

These Terms remain in effect until terminated by either you or Legit Leader.

ii. Termination by You

You may terminate your use of the Service at any time by deleting your account or discontinuing use of the Service.

iii. Termination by Legit Leader

Legit Leader may suspend or terminate your access to the Service:

  • With 30 days notice for any reason;
  • Immediately for violation of these Terms; or
  • Immediately if required by law or to protect our users, systems, or reputation.

iv. Effect of Termination

Upon termination:

  • Your right to access the Service ends;
  • We may delete your account and associated data; and
  • Provisions of these Terms that should reasonably survive will continue.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

i. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. LEGIT LEADER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT MAY CONTAIN ERRORS, BIASES, OR INACCURACIES.

ii. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGIT LEADER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES.

IN NO EVENT WILL LEGIT LEADER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO LEGIT LEADER FOR USE OF THE SERVICE DURING THE 12 MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Legit Leader and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  1. Your use of the Service;
  2. Your violation of these Terms; or
  3. Your violation of any rights of another.
  4. Your User Content

11. DISPUTE RESOLUTION

i. Governing Law

These Terms and any claims, causes of action, of any kind or character, or demand arising out of or relating to the Terms will be governed by the laws of the State of California. Any claim, cause of action or dispute, arising out of or relating to these Terms shall also be resolved exclusively in any state or federal court located in the City of Los Angeles, California. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim.

ii. Arbitration

If you and Legit Leader are unable to resolve any dispute, claim or disagreement (collectively, “Dispute”) in accordance with the information dispute resolution set forth above, in the interest of resolving disputes between you and the Company in the most expedient and cost effective manner, and except as described in this Section 12, you and the Company agree that every dispute arising in connection with these Terms, use of the Services and/or the subject matter hereof will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate Disputes includes all claims arising out of or relating to any aspect of these Terms, use of the Services and/or the subject matter hereof, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND THE COMPANY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

iii. Exceptions

Despite the provisions of this Section 12, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.

iv. State School Systems

If you are agreeing to these Terms on behalf of a state school or institution, Legit Leader acknowledges that mandatory state law may limit or supersede certain provisions of these Terms and agrees that such state law will control over any conflicting provisions.

12. GENERAL PROVISIONS

i. Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms (as defined below) incorporated by reference, constitute the entire agreement between you and Legit Leader regarding the Service.

ii. Additional Terms

Your use of the Services is subject to all additional terms, policies, rules, or guidelines applicable to the Services or certain features of the Services that we may post on or link to from the Services (the “Additional Terms”). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.

iii. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect and the Company will have the right to modify these Terms so as to effect the original intent of the parties as closely as possible in an acceptable manner in order that the transactions contemplated hereby be consumed as originally contemplated to the fullest extent possible.

iv. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

v. Assignment

You may not assign or transfer these Terms without Legit Leader’s prior written consent. Legit Leader may assign these Terms in connection with a merger, acquisition, or sale of assets.

vi. California Consumer Rights Notice.

Under California Civil Code Section 1789.3, California users of the Services receive the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at the contact information set forth at https://www.dca.ca.gov/about_us/contactus.shtml. Users of the Services who are California residents and are under 18 years of age may request and obtain removal of User Content they posted by contacting us as provided below. All requests must be labeled "California Removal Request" on the email subject line. All requests must provide a description of the User Content you want removed and information reasonably sufficient to permit us to locate that User Content. We do not accept California Removal Requests via postal mail, telephone or facsimile. We are not responsible for notices that are not labeled or sent properly, and we may not be able to respond if you do not provide adequate information.

Appendix 1

Policies Regarding FERPA and California AB 1584 (Buchanan) Privacy of Pupil Records: 3rd-Party Digital Storage & Education Software (Education Code section 49073.1)

  1. Student records generated by Legit Leader from an educational institution-Organization continue to be the property of and under the control of the Organization. The Organization retains full ownership rights to the personal information (subject to applicable law) and education records it provides to Legit Leader.
  2. Authorized Users may retain possession and control of their own generated content by making a request with the applicable Organization.
  3. Legit Leader will not use any information in a student record for any purpose other than those required or specifically permitted by the Organization Terms and Conditions and Privacy Policy.
  4. Parents, legal guardians, or eligible students may review personally identifiable information in the student’s records and correct erroneous information by contacting their educational institution. Additionally, Authorized Users may access, correct, update, or delete personal information in their profile or student profiles by signing into the Platform, and making the appropriate changes in account settings.
  5. Legit Leader is committed to maintaining the security and confidentiality of Organization Data comprising of student records. Towards this end, Legit Leader takes the following actions:
  • Limiting employee access to student data to only those employees with a need for such access to fulfill their job responsibilities; and
  • Protecting personal information with technical, contractual, administrative, and physical security safeguards designed to protect against unauthorized access, release, or use (as specified in the Legit Leader Data Processing Agreement).
  1. In the event of an unauthorized disclosure of a student’s records, Legit Leader will promptly notify the Organization as specified in its Data Processing Agreement, and make all other notifications and disclosures to both Organization and applicable data subjects (including students) required under applicable law.
  2. Legit Leader will delete or de-identify personal information when it is no longer needed to provide access to the Platform, within thirty (30) days upon expiration or termination of this Agreement, with any deletion or de-identification to be completed according to the terms contained herein, or otherwise at the direction or request of the educational institution.
  3. Legit Leader agrees to work with the educational institution to ensure compliance with FERPA and the Parties will ensure compliance by ensuring the Organization provides parents, legal guardians or eligible students with the ability to inspect and review student records and to correct any inaccuracies therein as described in statement (4) above.
  4. Legit Leader explicitly prohibits using personally identifiable information in student records to engage in targeted advertising, and does not engage in such conduct.
